3.1 Voy Platform is a decentralized finance (DeFi) platform that integrates traditional loyalty programs with cryptocurrency and blockchain technology.

3.2 Users are responsible for understanding the risks associated with blockchain technology and cryptocurrency.

4. Account Registration

4.1 Users must provide accurate, current, and complete information during registration.

4.2 Users are responsible for maintaining the confidentiality of their account credentials.

4.3 Users must be at least 18 years old to use the platform.

5. Platform Use

5.1 Users agree to use the platform in compliance with all applicable laws and regulations.

5.2 Users are prohibited from engaging in any fraudulent or illegal activities on the platform.

6. Travel Credits

6.1 Issuance: Travel Credits are issued at Voy's discretion through various promotions, referrals, or other activities.

6.2 Value: Travel Credits have no cash value and are denominated in USD (U.S. Dollars).

6.3 Expiration: Travel Credits may expire after 12 months or more from the date of issuance at Voy's discretion.

6.4 Redemption: Travel Credits can be applied to eligible bookings on the Voy platform.

6.5 Restrictions: Travel Credits are non-transferable and cannot be sold or exchanged.

6.6 Modification: Voy reserves the right to modify, suspend, or cancel Travel Credits at any time.

7. Smart Contracts

7.1 The platform utilizes smart contracts for various functions.

7.2 Users acknowledge the risks associated with smart contract technology.

7.3 Voy is not liable for any losses resulting from smart contract failures or vulnerabilities.

8. Booking and Reservations

8.1 All bookings are subject to availability and confirmation.

8.2 Users are responsible for ensuring the accuracy of their booking details.

9. Payment and Fees

9.1 Users agree to pay all applicable fees for services provided through the platform.

9.2 Voy reserves the right to change its fee structure with appropriate notice.

10. Cancellation and Refunds

10.1 Cancellation policies vary depending on the specific booking and service provider.

10.2 Refunds, when applicable, will be processed according to Voy's refund policy.

11. User Conduct

11.1 Users agree to abide by community guidelines and engage respectfully with other users.

11.2 Voy reserves the right to moderate user-generated content and suspend accounts violating these terms.

12. Intellectual Property

12.1 All content on the Voy platform is protected by copyright and other intellectual property laws.

12.2 Users may not reproduce, distribute, or create derivative works without explicit permission.

13. Privacy and Data Protection

13.1 User data is collected and processed in accordance with Voy's Privacy Policy.

13.2 Users consent to the collection and use of their data as outlined in the Privacy Policy.

14. Platform Security

14.1 Users are required to create a password or connect existing authentication accounts for account security.

14.2 Users must report any unauthorized access or security breaches immediately.

14.3 Users are responsible for maintaining adequate security and control of any and all IDs, passwords, and personal information used to access the Voy Services.

14.4 Any loss or compromise of your account information may result in unauthorized access to your Voy Account.

14.5 Users are responsible for keeping your contact information up to date in their Account Profile.

14.6 Voy assumes no responsibility for any loss due to compromised account credentials not caused by Voy.

15. Updates and Changes

15.1 Voy reserves the right to update or modify the platform and these terms at any time.

15.2 Users will be notified of significant changes, and continued use constitutes acceptance of the changes.

16. Beta Features

16.1 Voy may offer beta features for testing purposes.

16.2 Beta features are provided "as is" and may be modified or removed at any time.

17. Indemnification

You agree to indemnify and hold Voy, its affiliates, and service providers, and each of its or their respective officers, directors, agents, joint venturers, employees and representatives, harmless from any claim or demand (including attorneys' fees and any fines, fees or penalties imposed by any regulatory authority) arising out of or related to:
(a) Your breach of this Agreement
(b) Your use of Voy Services
(c) Your violation of any law, rule, or regulation
(d) Your violation of the rights of any third party

18. Limitation of Liability

To the maximum extent permitted by applicable law:

18.1 IN NO EVENT SHALL VOY, ITS AFFILIATES AND SERVICE PROVIDERS, OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, AGENTS, JOINT VENTURERS, EMPLOYEES OR REPRESENTATIVES, BE LIABLE FOR ANY AMOUNT GREATER THAN THE VALUE OF THE TRAVEL CREDITS ON DEPOSIT IN YOUR VOY ACCOUNT.

18.2 VOY AND ITS AFFILIATES AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY LOST PROFITS OR ANY SPECIAL, INCIDENTAL, INDIRECT, INTANGIBLE, OR CONSEQUENTIAL DAMAGES, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH AUTHORIZED OR UNAUTHORIZED USE OF THE VOY SITE OR THE VOY SERVICES.

18.3 VOY SHALL NOT BE LIABLE FOR ANY LOSS OR DAMAGE ARISING FROM:
a) Your failure to maintain adequate security and control of your account credentials

b) Errors, mistakes, or inaccuracies of content on the Voy platform

c) Personal injury or property damage resulting from your access to or use of our site

d) Unauthorized access to or use of our servers and/or personal information stored therein

e) Interruption or cessation of transmission to or from the Site

f) Bugs, viruses, trojan horses, or the like transmitted through the site by third parties

g) Errors or omissions in content or loss incurred from use of any content posted, emailed, transmitted, or made available through the Site

h) User Content or the defamatory, offensive, or illegal conduct of any third party

19. "As Is" and "As Available" Basis

THE VOY SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY REPRESENTATION OR WARRANTY, WHETHER EXPRESS, IMPLIED OR STATUTORY. VOY SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT.

20. No Warranty

Voy does not warrant that the Voy Services will be uninterrupted, timely, secure, or error-free. Voy does not warrant the accuracy of any Travel Credit or loyalty point data available on the Site.

21. Jurisdiction-Specific Provisions

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Therefore, some of the above limitations in this section may not apply to you.

22. Dispute Resolution

22.1 If you have a dispute with Voy, we will attempt to resolve it through our support team.

22.2 Any unresolved dispute shall be settled in binding arbitration, on an individual basis, in accordance with American Arbitration Association's rules for arbitration of consumer-related disputes (accessible at https://www.adr.org/sites/default/files/Consumer%20Rules.pdf).

22.3 Class action lawsuits, class-wide arbitrations, private attorney-general actions, and any other proceeding where someone acts in a representative capacity are not allowed.

23. Force Majeure

Voy is not liable for failure to perform due to circumstances beyond its reasonable control.

24. Governing Law

These terms are governed by the laws of California.

25. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
